Lou's Lagoon Prize Promotion - Terms and Conditions

These terms and conditions (the “Terms”) apply to all prize promotions operated by Megabit Publishing in connection with the videogame Lou’s Lagoon (the “Game”). The four (4) prize promotions to be operated under these Terms in May-July 2026 are set out in Schedules 1 to 4 below. Each Schedule forms part of, and must be read with, these Terms; in the event of conflict, the Schedule prevails for that promotion.

1. THE PROMOTER AND THE COMPETITION

1.1 The promoter and organiser of each competition is Aonic UK Ltd, a private limited company incorporated in England and Wales (registration number 14488533) with registered office at Unit Efg, 4th Floor Zetland House, Scrutton Street, London, England EC2A 4HJ, doing business as Megabit Publishing (“Megabit”, “we” or “us”).

1.2 These Terms and the relevant Schedule govern the legal relationship between Megabit and you (referred to in these Terms as “you” or “your”) in relation to each competition.

1.3 Please read these Terms and the relevant Schedule carefully, and in particular clauses 8 (Use of Submissions) and 9 (Publicity and personal information) regarding how Megabit will use your Submission and your personal information.

1.4 The title of each competition is set out in the relevant Schedule.

1.5 For help with entries or any other questions about a competition, please contact social@megabit-publishing.com. For data protection matters, please contact dataprotection@megabit-publishing.com.

1.6 Each competition is in no way sponsored, endorsed, administered by or associated with Discord, X (Twitter), Meta (Instagram), Bluesky or any other social media platform on which a competition is run. Each platform acts as an independent controller of any personal data that you share with it.

2. HOW TO PARTICIPATE

2.1 No purchase is necessary to enter any competition operated under these Terms.

2.2 By submitting an entry (“Entry”), you agree to be bound by these Terms and the relevant Schedule.

2.3 The mechanic for entering each competition (including any required platforms, hashtags, sign-up forms, channels and timing requirements) is set out in the relevant Schedule.

2.4 Where a competition requires you to submit user-generated content (including, without limitation, screenshots, written entries, artwork, photographs, videos or other materials) (each, a “Submission”), you must comply with this clause 2 and any further requirements set out in the relevant Schedule.

2.5 By submitting any Submission you warrant that:

2.5.1 the Submission is your own original work;

2.5.2 the Submission has not been generated, in whole or in part, by any generative artificial intelligence tool;

2.5.3 the Submission does not infringe the intellectual property rights, privacy rights or any other rights of any third party, except that the Submission may incorporate intellectual property in or relating to the Game (which Megabit licenses to entrants on a limited, non-exclusive basis solely for the purpose of creating and submitting Entries to this competition);

2.5.4 the Submission does not contain personal data or identifying information of any other person (including, without limitation, faces, names, voices, gamertags, contact details or other identifying material);

2.5.5 the Submission does not contain any unlawful, defamatory, obscene, hateful, harassing, sexually explicit or otherwise objectionable content; and

2.5.6 you have all rights, consents and permissions necessary to submit the Submission and to grant the licence set out in clause 8.1.

2.6 An Entry will be void and excluded from the relevant competition if:

2.6.1 it does not comply with these Terms or the relevant Schedule;

2.6.2 you provide incorrect, incomplete or misleading information;

2.6.3 you are considered, in the sole discretion of Megabit, to be part of an attempt to cheat, manipulate or unfairly influence the outcome of the competition; or

2.6.4 your conduct is contrary to the spirit or intention of the competition.

2.7 Megabit’s decision as to whether you are eligible for a competition, whether an Entry is valid and whether a Submission complies with these Terms is final and Megabit is not obliged to provide any reasons for disqualification.

3. ENTRY PERIOD

3.1 The opening date and closing date for each competition (the “Entry Period”) are set out in the relevant Schedule.

3.2 Any Entry received outside the Entry Period will be automatically disqualified. Megabit accepts no responsibility for Entries that are corrupted, not successfully completed or transmitted, lost, mislaid, damaged or delayed in transit, regardless of cause.

4. SELECTION OF THE WINNER

4.1 The number of winners and the method of selection for each competition are set out in the relevant Schedule. The selection method may include any of the following:

4.1.1 judging by Megabit (or by an independent judge appointed by Megabit) against criteria set out in the relevant Schedule;

4.1.2 shortlisting by Megabit followed by a public vote conducted on Discord and/or social media; or

4.1.3 random selection from valid Entries using a verifiably random tool, the specific identity of which is set out in the relevant Schedule. A record of the draw will be retained by Megabit for audit purposes for at least six (6) months.

4.2 Where a competition is decided in whole or in part by public vote, Megabit reserves the right to invalidate votes that, in its reasonable opinion, have been obtained by automated means or otherwise in breach of these Terms or the relevant Schedule.

5. PRIZE

5.1 The prize for each competition is set out in the relevant Schedule.

5.2 There is no cash or other alternative to any prize.

5.3 Each prize is for the named winner only and cannot be given or transferred to any other person. A prize may not be claimed by a third party on the winner’s behalf.

5.4 Megabit is not responsible for any customs charges, import taxes or other taxes arising from shipping of any physical prize, which will be payable by the winner.

5.5 Unless otherwise stated in the relevant Schedule, physical prizes will be shipped via courier and digital game codes and downloadable content will be delivered either by email and/or directly to your account for your platform of choice.

6. RESTRICTIONS AND REQUIREMENTS

6.1 Each competition is open only to legal residents of the European Economic Area, (excluding Belgium, France, Italy, Poland, and Hungary) and also open to legal residents of the United Kingdom, the United States of America (excluding the states of New York, Florida and Rhode Island, and all US territories including Puerto Rico, Guam, the US Virgin Islands and the Northern Mariana Islands), and Canada (excluding the province of Quebec) who are aged 18 years or over at the date of entry, except for:

6.1.1 employees, officers and directors of Megabit, Aonic UK Ltd, any other member of the Aonic group, Tiny Roar GmbH, rokaplay GmbH, BKOM Studios or any other party professionally connected with the operation of the competition; and

6.1.2 members of the immediate families or households of the persons described in clause 6.1.1.

6.2 Megabit may at any time ask you to provide proof of your age, residence or eligibility. Delay or failure to provide such evidence to Megabit’s reasonable satisfaction may result in your Entry being void or your prize being forfeited.

6.3 Each entrant may submit only one (1) Entry per competition unless the relevant Schedule expressly states otherwise. For competitions which can be entered on more than one platform, this means one (1) Entry in total across all platforms unless the relevant Schedule expressly provides otherwise.

7. NOTIFICATION OF RESULTS AND RECEIPT OF PRIZE

7.1 Megabit will notify each winner by email or by direct message on the platform on which the competition is run, within fourteen (14) days of the closing date of the relevant Entry Period.

7.2 Megabit shall publish or make available information indicating that a valid award took place. Megabit will announce the winner(s) of each competition in a post published from one of Megabit’s official channels (which may include Discord, X, Instagram and/or Bluesky as well as on Lou Lagoon’s Steam page), and may identify the winner by their handle, account name or first name and last initial. If you are selected as a winner and you do not wish to be publicly identified in the announcement, you must notify Megabit at social@megabit-publishing.com within 24 hours of being notified of your win; in that case, Megabit will identify the winner only by their initials or by another redacted form.

7.3 Megabit will provide instructions to each winner on how to claim their prize. To claim a prize, the winner must provide the personal information described in clause 9.

7.4 If a winner has not claimed their prize within fourteen (14) days of being notified, the prize will be forfeited and Megabit may select an alternative winner from the remaining eligible Entries in accordance with the process set out in the relevant Schedule (and that winner will in turn have fourteen (14) days to claim their prize).

7.5 Subject to clauses 6.2 and 7.3, Megabit shall issue or dispatch each winner’s prize within thirty (30) days of the prize being claimed, unless delivery is delayed due to circumstances outside Megabit’s control (and, for physical prizes, actual receipt by the winner will depend on courier delivery times). For the avoidance of doubt, the maximum period from the closing date of the Entry Period to receipt of the prize will not normally exceed ninety (90) days, subject to clauses 6.2, 7.3 and 7.4. Where a prize consists of (or includes) a digital game code, downloadable content or other digital item that is tied to the release of the Game, delivery of that item may instead be made within thirty (30) days of the release of the Game.

7.6 Megabit does not accept any responsibility or liability if you are not able to take up a prize for any reason.

8. USE OF SUBMISSIONS

8.1 You retain ownership of the copyright (and any other intellectual property rights) in your Submission. By submitting any Submission, you grant to Megabit, its affiliates and its sublicensees a worldwide, non-exclusive, royalty-free, sublicensable licence to use, reproduce, adapt, edit, publicly display, communicate to the public and distribute the Submission (in whole or in part, in any media now known or later developed) for the purposes of:

8.1.1 operating, judging and administering the competition (including by displaying shortlisted Submissions for community voting and announcing winners);

8.1.2 publishing the Submission, together with the handle, username or other entry credentials you used to enter, on Megabit’s, Tiny Roar’s, and the Lou’s Lagoon official Discord, social media accounts and websites; and

8.1.3 using the Submission in materials promoting the competition or the Game.

8.2 The licence granted in clause 8.1 is perpetual and irrevocable, survives termination of these Terms to the extent reasonably necessary to allow Megabit to keep historic competition announcements and records visible on its channels.

8.3 Where a Schedule provides that the prize includes the incorporation of a winning Submission into the released version of the Game (or any other product or service), additional terms will apply, as set out in the relevant Schedule. Those additional terms deal with (without limitation) the assignment or extended licensing of intellectual property rights in the winning Submission, attribution and any moral rights waivers permitted under applicable law, and take effect only once the winner has expressly accepted them at the prize claim stage in accordance with that Schedule.

8.4 You may withdraw your consent to the use of your Submission at any time by contacting dataprotection@megabit-publishing.com. If you withdraw your consent before the closing date of the Entry Period, your Entry will be removed from the competition. Where Megabit has already published your Submission on its official channels, Megabit will take reasonable steps to remove it; however, Megabit cannot recover or remove copies that have been further shared, copied or downloaded by other persons.

8.5 Megabit may at any time remove, refuse to display or refuse to consider any Submission which it considers, in its sole discretion, to breach these Terms (including the warranties in clause 2.5) or any Schedule, or which Megabit determines to be otherwise inappropriate or contrary to the spirit of the competition.

9. PUBLICITY AND PERSONAL INFORMATION

9.1 Megabit will use any personal information you provide in connection with a competition for the purposes of operating the competition, contacting you about your Entry, verifying your eligibility and (if you are a winner) awarding and delivering your prize. The personal information of winners may also be used to comply with tax, audit or other legal obligations.

9.2 Megabit processes your personal information in accordance with Megabit’s Privacy Notice for Lou’s Lagoon, which is available at https://megabit-publishing.com/policies/louslagoon-privacy-policy. Please refer to that notice for further details, including the categories of recipients with whom your personal information may be shared, retention periods, international transfer mechanisms and your rights.

9.3 By entering a competition, you consent to the use of your personal information as described in clause 9.1 and in the Privacy Notice for Lou’s Lagoon. You may withdraw your consent at any time by contacting dataprotection@megabit-publishing.com. If you withdraw your consent before the closing date of the Entry Period, your Entry will be removed from the competition. If you withdraw your consent after you have accepted a prize, Megabit will retain only the minimum personal information necessary to evidence the lawful award of the prize and to comply with its tax, audit and legal obligations. Withdrawal of your consent does not affect the lawfulness of any processing carried out before the withdrawal.

9.4 Where a competition is run on a third-party platform (including Discord, X, Instagram or Bluesky), each such platform acts as an independent controller of the personal information you share with it. Megabit is not responsible for the data processing practices of those platforms; please refer to the privacy notice of each platform for further information.

9.5 You may be asked to take part in publicity in connection with a competition if you are selected as a winner. Such publicity may include the publication of your handle, first name and last initial on Megabit’s channels. Any further publicity will be subject to your separate agreement.

10. GENERAL

10.1 Nothing in these Terms limits or excludes Megabit’s liability for death or personal injury caused by its negligence or for fraud or fraudulent misrepresentation. Subject to the foregoing, and to the maximum extent permitted by applicable law, Megabit and its agents, distributors and other contractors are not legally responsible to entrants or winners for any loss, damage, personal injury or other harm caused by Megabit, by any third party acting on Megabit’s behalf, or arising out of or in connection with the operation of any competition or the receipt of any prize.

10.2 Megabit reserves the right to hold void, cancel, suspend or amend any competition where it becomes necessary to do so. Where reasonably possible, Megabit will publish notice of any such action on the channel(s) on which the competition is being run.

10.3 These Terms and each Schedule are governed by the laws of England and Wales. If you are resident elsewhere, you will retain the benefit of any mandatory protections given to you by the laws of that country.

10.4 Any dispute arising out of or in connection with these Terms or any competition will be subject to the non-exclusive jurisdiction of the courts of England and Wales.
